In re Micro Focus International PLC Securities Litigation

The purpose of this website is to advise Settlement Class Members of the pendency of the above-captioned action now pending in the Superior Court of the State of California, County of San Mateo (the “Court”), brought by Plaintiffs and Class Representatives Ian Green and the Cardella Family Irrevocable Trust U/A 06/17/15 (“Class Representatives”) on behalf of themselves and others similarly situated, against Micro Focus and certain of its current and/or former officers and directors (“Defendants”). The action has been certified by the Court to proceed as a class action on behalf of certain purchasers or acquirers of Micro Focus ADSs or ADRs as explained in the below definition of the Settlement Class. This website is intended to advise you of the settlement of this class action for $107.5 million and your rights with respect to the settlement.

The Settlement Class

By Order dated February 7, 2023, the Court certified the following Settlement Class:

All persons and entities who purchased or acquired American Depositary Shares (“ADSs”) or American Depositary Receipts (“ADRs”) of Micro Focus International plc (“Micro Focus” or “Company”), or rights to receive such ADSs or ADRs (i) during the period from September 1, 2017 through August 28, 2019, inclusive (“Settlement Class Period”), or (ii) pursuant or traceable to the Registration Statements on Forms F-4 and F-6 and Prospectus issued in connection with the merger of Micro Focus and the software business unit of Hewlett Packard Enterprise company (“HPE”) (or their subsidiaries) (“Merger”), and who were damaged thereby and are not otherwise excluded therefrom (“Settlement Class” or “Settlement Class Members”).
